WHEREAS Claimant has a claim against Disputant on a disputed invoice dated [DATE] in the amount of

<br />
1. Use and Occupancy<br />
The Unit may only be used strictly for residential purposes and may only be occupied by Tenant and Tenant’s spouse and children.<br />
<br />
2. Inability to Give Possession<br />
The failure of Landlord to give Tenant possession of the Unit on the Commencement Date shall not create<br />
liability for Landlord. In the event that possession of the Unit is not delivered on the Commencement Date, Monthly Rent hereunder shall begin on the date that possession of the Unit is delivered to Tenant and shall be prorated for that portion of the month in which possession is delivered.<br />
<br />
3. Rent<br />
A. Tenant shall pay Monthly Rent in full on the first day of each month of the Lease. Monthly Rent shall be paid in advance with no notice being required from Landlord. Tenant shall not deduct any sums from the Monthly Rent unless Landlord consents thereto in writing. Rent shall not be abated or forgiven due to damage to or inability to use the common elements.<br />
<br />
Upon signing this Lease, Tenant shall pay Landlord the first Monthly Rent due and the Security Deposit. The entire amount of rent due for the Lease Term is due upon signing this Lease; however, Landlord consents to the Tenant paying same in monthly installments provided there exists no defaults by Tenant under the terms of this Lease.<br />
<br />
B. Additional Rent may include, but is not limited to<br />
1.<span class="Apple-tab-span" style="white-space: pre;"> </span>any additional insurance premiums and/or<br />
expenses paid by Landlord which are chargeable to Tenant as stated hereinafter:<br />
2.<span class="Apple-tab-span" style="white-space: pre;"> </span>all<span class="Apple-tab-span" style="white-space: pre;"> </span>increases in Common Charges,<br />
Common Expenses and Association dues allocated tot he Unit which are in excess of those charges as of the date this Lease is executed;<br />
3.<span class="Apple-tab-span" style="white-space: pre;"> </span>any increase in the real estate taxes above<br />
the real estate taxes being levied for the tax year in effect as of the date this Lease is executed.<br />
Additional Rent is due and payable with the Monthly Rent for the next month after Tenant receives notice from Landlord that Additional Rent is due and payable.<br />
<br />
3. Condition of Unit<br />
Tenant acknowledges that Tenant is accepting the Unit in its <span class="Apple-tab-span" style="white-space: pre;"> </span>“as is” condition. <span class="Apple-tab-span" style="white-space: pre;"> </span>Tenant further<br />
acknowledges that Tenant has thoroughly inspected the Unit and has found the Unit to be in good order and repair and that the appliances, if any, are in good operating condition. Tenant further states that Tenant knows how to operate the appliances and shall do so in accordance with the manufacturer’s instructions.<br />

<br />
5. Security<br />
The Security Deposit is due upon the Tenant signing this Lease. The Security Deposit shall not be used for<br />
the payment of Monthly Rent and/or Additional Rent unless agreed to, in writing, by Landlord and Tenant.<br />
Within ten (10) days after Tenant surrenders possession of the Unit at the expiration of the Lease Term, Landlord shall return the Security Deposit, less any cost of repairs as authorized by this Lease, to Tenant at an address Tenant provides.<br />
<br />
6. Services and Utilities<br />
Tenant is responsible for paying all electric, gas, water, telephone and any other utilities allocated to the Unit. Use of a dishwasher, clothes washer and dryer machines, freezer, air purifier, portable heater, air conditioner or similar appliances is prohibited without Landlord’s written consent.<br />
Landlord will supply (a) heat, in such quantity and for such time as mandated by law, (b) hot and cold water, (c) air conditioning, if already existing in the Unit (the“Services”). If the Services are temporarily interrupted due to an accident, emergency and/or repairs, Tenant’s obligation to pay rent, in full, shall not be affected thereby.<br />
<br />
Landlord will also supply a refrigerator, stove/oven, dishwasher, window air conditioning unit, clothes washer and clothes dryer (the “Appliances”). Any damage to the Appliances which is caused by the willful and/or negligent acts of Tenant may be repaired by Landlord, the cost of which shall be Additional Rent.<br />

7. Furnishings<br />
The Unit is being delivered (furnished) (unfurnished). If furnished, Landlord has given an inventory of the furnishings which inventory has been signed by Tenant and Landlord. <span class="Apple-tab-span" style="white-space: pre;"> </span>Tenant acknowledges that said furnishings are in good condition and Tenant accepts same in “as is” condition.<br />
<br />
8. Repairs and Alterations<br />
Tenant shall maintain all appliances, equipment, furniture, furnishings and other personal property<br />
included under this Lease and, upon the surrender of the Unit on the Termination Date, Tenant shall surrender same to Landlord in the same condition as received,<br />
<br />
<br />
<br />
reasonable wear and tear excepted. Tenant shall make<br />
all repairs which become necessary due to Tenant’s acts and/or negligence. If Tenant does not make such repairs, Landlord may do so, the cost of which shall be Additional Rent. In the event that Tenant defaults under the terms of this Paragraph 8, Landlord may make<br />
necessary repairs or replacement, the cost of which shall be deducted from the Security Deposit.<br />
Tenant shall not make any alterations, additions, modifications and/or changes to the Unit during the Lease Term.<br />
<br />
Should a mechanic’s lien be filed against the Unit and/or the building in which the Unit is situated (the"“Building") due to Tenant’s failure to pay for alterations and/or repairs and/or work performed in the Unit, Tenant must immediately either pay or file a bond for the amount stated in the mechanic’s lien. In the event Tenant fails to so pay or bond the mechanic’s lien, Landlord may do so upon giving twenty (20) days prior written notice toTenant, Landlord’s cost for which shall be Additional Rent.<br />
<br />
Provided the Condominium Association is obligated to do so, Landlord will cause the Condominium Association to repair any damage, except if such damage is the result of the acts and/or negligence of Tenant<br />
<br />
9. Maintenance of Unit<br />
Tenant shall maintain the Unit in a neat, clean and presentable condition.<br />
<br />
10. Pets<br />
Pets of any kind or nature (shall) (shall not) be<br />
allowed in the Unit.<br />
<br />
11. Damage, Fire or Other Catastrophe<br />
In the case of fire damage or other damage to the Unit not caused by Tenant, Tenant shall give Landlord<br />
immediate notice of same. Upon receipt of such notice, Landlord may either (a) repair the Unit or (b) terminate the Lease. If Landlord makes repairs to the Unit, Landlord shall have a reasonable time in which to do so. If the damage to the Premises or the Unit renders the Unit uninhabitable, Landlord shall give notice to Tenant, after repairs are made, of the date on which the Unit may be reoccupied. Monthly Rent for the period that Tenant can not occupy the Unit because of the damage shall be forgiven.<br />
In the event that Landlord terminates this Lease because of the damage, Landlord shall give Tenant three (3) days notice of Landlord’s intent to so terminate, in which event, Monthly Rent shall be due for the period up to the date the Premises or the Unit incurred the damage.<br />
<br />
Notwithstanding the provisions of Section 227 of the New York Real Property Law, if the Unit is situated is substantially damaged by fire or other catastrophe (the “Occurrence”), Landlord has the absolute right to demolish, renovate or rebuild the Unit. Landlord may cancel this Lease, in such event, upon thirty (30) days written notice to Tenant of Landlord’s intent, which notice shall include the date on which the Lease terminates, which shall, in no event, be less than thirty (30) days from the date of said notice. By canceling this Lease in accordance with the terms of this Paragraph, Landlord is not obligated to repair, renovate or rebuild the Unit. Monthly Rent and Additional Rent shall be paid by Tenant up to the date of the Occurrence.<br />
<br />
12. Liability<br />
Landlord shall not be liable for any loss, damage or expense to any person or property except if such loss is caused by the willful acts of Landlord.<br />
<br />
Tenant shall be liable for the acts of Tenant, Tenant’s family, guests and/or invitees. Landlord’s cost and expense in repairing any such damage or from any claim resulting from such acts shall be billed as Additional Rent and shall be paid by Tenant to Landlord.<br />
<br />
Landlord is not liable to Tenant should anyone be refused entry into the Building.<br />
Landlord is not liable for damages or otherwise if Tenant suffers them as a result of any acts of<br />
commission or omission of the Condominium Association, its Board of Managers or any other party responsible to the Condominium Association or its Board of Managers. Landlord is not liable to Tenant with regard<br />
<br />
to any of the obligations of the Condominium Association,its Board of Managers or other party responsible to them under the Condominium Declaration. The obligation to pay Rent and Additional Rent under this Lease continues even if the Condominium Association, its Board of Managers and other party responsible to them fails to perform such obligations. Landlord will use its best efforts to cause the Condominium Association, its Board of Managers and other party responsible to them to fulfill<br />
their obligations.<br />
<br />
Tenant, by executing this Lease agrees to indemnify and hold Landlord harmless from and against any claims arising from the Condominium Declaration related to Tenant’s acts and/or negligence.<br />
<br />
13. Insurance<br />
Tenant is obligated to carry whatever property and/or liability insurance that Landlord requires and shall<br />
have named on the policy of insurance Landlord, as an insured. Tenant must deliver a copy of the declaration page of the policy of insurance or the binder showing Landlord as an insured prior to taking possession of the Unit.<br />
<br />
14. Entry<br />
Except in an emergency, for the purposes of repair, inspection, extermination, installation or repair of any system, utility or appliance or to do any work deemed necessary by Landlord, Landlord may enter the Unit on reasonable notice and at reasonable times. Upon giving such notice, Landlord may also enter the Unit to show the Unit to prospective purchasers, lenders or other persons deemed appropriate and necessary by Landlord. During the last three (3) months of the Term of this Lease,<br />
Landlord may enter the Unit to show the Unit to prospective tenants.<br />
Landlord is not responsible for disturbance to tenant or damage to Tenant due to work being performed on behalf of Landlord or the Condominium<br />
Association and Tenant waives any claim of eviction in such event.<br />
Upon reasonable notice to Tenant, the representatives of the Condominium Association, Board of Manages or any other party authorized by them or by the Condominium Declaration may enter the Unit and Landlord assumes no responsibility nor shall Landlord be liable for any damage or loss caused by them.<br />
<br />
15. Assigning or Subletting<br />
This Lease may not be assigned by Tenant nor shall Tenant sublet the Unit.<br />
16. Subordination<br />
This Lease and Tenant’s rights hereunder are subject and subordinate to all existing and future leases for the Building in which the Unit is situated, to all mortgages on said leases and/or the Unit and/or the Building and all renewals, modifications and extensions thereof. Upon request by Landlord, Tenant shall execute any certificate to this effect.<br />
<br />
17. Landlord’s Consent<br />
If, under the terms of this Lease, the consent of Landlord is required, such consent shall not be unreasonably withheld.<br />
18. Keys, Locks<br />
Tenant shall give Landlord keys to all locks for the Unit. Tenant shall not change any locks or add any locks<br />
to the Unit without obtaining Landlord’s consent, and if given, Tenant shall provide keys to Landlord for these locks.<br />
<br />
19. Signs<br />
Tenant shall not place any signs on the Unit or upon the Building or in the Unit so as to be seen from outside<br />
the Unit.<br />
<br />
Landlord shall have the right to place or cause to be placed on the Unit and/or upon the Building, “For Rent”<br />
and/or “For Sale” signs.<br />
<br />
20. Compliance with Authorities<br />
Tenant shall, at its own cost and expense, comply promptly with all laws, rules, ordinances and directions of<br />
<br />
<br />
<br />
governmental and/or municipal authorities, insurance carriers and/or the Condominium Association and/or Board of Managers. Tenant shall give all notice Tenant receives which are for Landlord.<br />
<br />
21. Tenant’s Defaults, Landlord’s Remedies<br />
<br />
A. Landlord must give Tenant notice of default (except for a default in the payment of Monthly Rent and/or Additional Rent) and Tenant, upon receipt of such notice must cure the default within the time stated hereinafter:<br />
<br />
1.<span class="Apple-tab-span" style="white-space: pre;"> </span>a default under Paragraphs 8, 9, 10, 11,<br />
12, 13, 15, 18, or 19 of this Lease, ten (10) days;<br />
2.<span class="Apple-tab-span" style="white-space: pre;"> </span>a default under Paragraph 23 of this<br />
Lease, thirty (30) days.<br />
B. In the event that Tenant fails to cure a default within the timestated therefore, Landlord may terminate this Lease. In such event, Landlord shall give Tenant notice stating the date upon which this Lease shall terminate, such date being not less than three (3) days after the date of such notice at which time this Lease shall then terminate.<br />
Tenant shall be responsible for Monthly Rent and Additional Rent as set forth in this Lease up to the date of termination.<br />
C. If this Lease is terminated or Tenant vacates the Unit prior to the Termination Date, Landlord may enter the Unit and remove Tenant and any person or property and/or commence summary proceedings for eviction. The aforesaid actions are not the sole remedies of Landlord.<br />
D. If this Lease is cancelled or Landlord takes back the Unit<br />
1.<span class="Apple-tab-span" style="white-space: pre;"> </span>Monthly Rent and Additional Rent for the unexpired portion of the Lease Term immediately becomes due and payable. In addition, any cost or repair expended by Landlord shall be the obligation of Tenant and shall be deemed Additional Rent.<br />
2.<span class="Apple-tab-span" style="white-space: pre;"> </span>Landlord may re-rent the Unit and anythingin it for any term and at any rental and any cost in connection therewith shall be borne by Tenant which may include, but is not limited to the cost of repairs, decorations, preparation for renting, broker’s fees, advertising costs and attorney’s fees. Any rent recovered by Landlord for the re-renting of the Unit shall reduce the amount of money that Tenant owes to Landlord.<br />
<br />
22. Condemnation<br />
If any or part of the Unit is taken or condemned by any governmental authority, Landlord may cancel this<br />
Lease on notice to Tenant and Tenant’s rights hereunder shall end as of the date the authority takes title to the Unit which cancellation date can not be less than thirty (30) days from the date of Landlord’s notice. Tenant shall be liable for Monthly Rent and Additional Rent to the date of cancellation and shall make no claim for the unexpired term of the Lease. Any award for the condemnation is the property of Landlord and Tenant assigns to Landlord any and all rights, interest and/or claim in and to such award.<br />
<br />
23. Bankruptcy<br />
Should Tenant file a voluntary petition in bankruptcy or an involuntary petition is filed against Tenant, or<br />
should Tenant assign any property fro the benefit of creditors or should a trustee/receiver be appointed of Tenant and/or Tenant’s property, Landlord can cancel this Lease upon thirty (30) days written notice to Tenant.<br />
<br />
24. Notices<br />
Any notice to be given under this Lease shall be in writing addressed to the party at the addresses set forth herein by certified mail or overnight courier service.<br />
Notice by Landlord to one named Tenant shall be deemed given to all Tenants and occupants of the Unit. Each party hereto shall accept notices sent by the other. Any change of address by one party must be given, by notice, to the other. Notice shall be deemed given when posted or delivered to the overnight courier service.<br />
<br />
25. Waiver of Jury Trial, Set-Off or CounterclaimThe parties hereto waive trial by jury in all matters except for personal injury or property damage claims. In a summary proceeding for eviction, Tenant waives<br />
Tenant’s right to any set-off and/or counterclaim.<br />
26. Broker<br />
Tenant states that is the sole Broker who showed the Unit to Tenant. Tenant shall hold harmless and indemnify Landlord from any monies expended by Landlord should Tenant’s statement herein be untrue.<br />
<br />
27. Inability of Landlord to Perform<br />
If Landlord is unable to perform any of its obligations to be performed hereunder due to governmental orders, labor strife or inability to secure goods or materials, through no fault on the part of Landlord, the Condominium Association and/or its Board of Managers, this Lease shall not be terminated or cancelled and such inability shall not impact upon Tenant’s obligations hereunder.<br />
<br />
28. Illegality<br />
Should any part of this Lease be deemed illegal, the remaining portions of this Lease shall not be affected thereby and shall remain in full force and effect.<br />
<br />
29. Non-Disturbance<br />
So long as Tenant pays the Monthly Rent and Additional Rent and there exists no defaults under any of the terms of this Lease, Tenant may peacefully occupy the Unit for the Lease Term.<br />
<br />
30. Non-Waiver<br />
Any failure by Landlord to insist upon Tenant’s full compliance with the terms of this Lease and/or to enforce such terms shall not be deemed to be a waiver of Landlord’s rights to insist upon or so enforce the terms of this Lease at a future date.<br />
31. Rules<br />
Tenant shall comply with these rules (the “Rules”) at all times. If there is a change in the rules, Landlord will give Tenant notice of same. Landlord shall not be liable to Tenant for another Tenant’s violation of the Rules. The rights afforded under the following Rules are for the sole benefit of Landlord:<br />
(a) the quiet enjoyment of other tenants shall not be interfered with;<br />
(b) sounds, odors and lights which are annoying to<br />
other tenants <span class="Apple-tab-span" style="white-space: pre;"> </span>are not allowed;<br />
(c) floors within the Unit must be covered over 70%<br />
of the area of each room except for the bathroom and<br />
kitchen;<br />
(d) all posted rules must be followed;<br />
(e) smoking is not permitted in the Unit or hallways;<br />
(f) All flammable or dangerous items may not be kept or stored in the Unit;<br />
(g) no one is allowed access to or the enjoyment of the roof;<br />
(h) nothing shall be placed on or attached to the fire<br />
escapes, windows, doors or in the hallways or common<br />
areas;<br />
(i) elevators, if any, are to be used by tenants and their guests only. Bicycles are not allowed in the elevators. Tenants and their guests are not to leave any garbage, trash and/or debris in the elevators;<br />
(j) moving of furniture in and out of the Unit must be scheduled with the Landlord;<br />
(k) all deliveries must be made by means of the service entrance, if any;<br />
(l) laundry machines, if provided, may be used at<br />
tenants’ risk and cost, may only be used at reasonable<br />
hours and all instructions for their use must be strictly<br />
followed;<br />
(m) cleaning of the exterior of the windows from the outside is strictly forbidden;<br />
(n) if parking is provided, improperly parked vehicles may be immediately removed at tenant’s cost;<br />
(o)<span class="Apple-tab-span" style="white-space: pre;"> </span>tenant may not leave any baby<br />
carriages/strollers, bicycles, boxes, cartons and/or any items in hallways;<br />
(p) tenant shall use its best efforts to conserve energy and water;<br />
(q) hot plates or means of cooking other than the stove are not permitted.<br />

40. Amendments<br />
<br />
32. Limitation of Recovery<br />
Should Tenant obtain a judgment or other remedy from a court of competent jurisdiction for the payment of money by Landlord, Tenant is limited to the Landlord’s interest in the Premises for the collection of same. Landlord shall not be liable for the acts of the Condominium Association, its Board of Managers, their agents or representatives.<br />
<br />
33. Construction and Demolition<br />
Construction and/or demolition may be done in or near the Unit and Building and if same interferes with the<br />
ventilation, view and/or enjoyment of the Unit, Tenant’s obligations under this Lease shall, in no way, be affected.<br />
<br />
34. Terraces and Balconies<br />
If there is a terrace or balcony as an adjunct to the Unit, such terrace or balcony is subject to the terms of this Lease.<br />
Tenant shall keep the terrace or balcony clean, clear of snow, ice, garbage and other debris. No alteration or additions may be made to the terrace or balcony. Tenant’s property may not be stored on the terrace or balcony. Cooking on the terrace or balcony is prohibited.<br />
Tenant shall maintain the terrace or balcony in good condition and make all repairs at Tenant’s cost, except those of a structural nature which is the responsibility of Landlord and/or Condominium Association.<br />
<br />
35. Common Recreational Areas<br />
If applicable, Landlord may give Tenant use of any playground, pool, parking or other areas, the use of which will be at Tenant’s own risk and Tenant shall pay any charge imposed by Landlord for such use. Landlord’s permission to use these areas may be revoked at any time.<br />
<br />
36. Parties Bound<br />
This Lease is binding upon Landlord and Tenant and their respective assignees and/or successors in interest.<br />
37. Paragraph Headings<br />
Paragraph headings are for reference only.<br />
<br />
38. Effectiveness<br />
This Lease shall become effective as of the date when Landlord delivers a fully executed copy hereof to Tenant or Tenant’s attorney.<br />
<br />
39. Entire Agreement<br />
Tenant states that Tenant has read this Lease and that <span class="Apple-tab-span" style="white-space: pre;"> </span>it <span class="Apple-tab-span" style="white-space: pre;"> </span>fully <span class="Apple-tab-span" style="white-space: pre;"> </span>incorporates all <span class="Apple-tab-span" style="white-space: pre;"> </span>understandings,<br />
representations and promises made to Tenant by Landlord and/or Landlord’s agent and that this Lease supercedes all prior representations, agreements and promises, whether oral or written.<br />
<br />
This Lease may only be changed or amended in awriting signed by the parties hereto.<br />
<br />
41. Riders<br />
Additional terms are contained in the riders annexed hereto and designated Rider<br />
42. Garage Space<br />
If this Lease provides for a garage space for Tenant’s use, any fee that Landlord charges Tenant shall be Additional Rent and paid in accordance with Paragraph “3 B” of this Lease.<br />
<br />
43. Definitions<br />
<br />
a) Condominium Association. The Unit owners association and/or organization, the membership of which is comprised of Unit Owners (defined below).<br />
b) Board of Managers.<span class="Apple-tab-span" style="white-space: pre;"> </span>Persons selected,<br />
authorized and empowered to manage and operate the Building as set forth in the Condominium Declaration filed in the Office of the Clerk of the County in which the Building is situated.<br />
c) Common Charges. The Unit’s share of the Common Expenses.<br />
d) Common Elements.<span class="Apple-tab-span" style="white-space: pre;"> </span>As defined in the<br />
Condominium Declaration.<br />

44. Surrender of Unit<br />
On the Termination Date, Tenant shall deliver the Unit toLandlord vacant, in good condition and broom<br />
clean. Prior to such delivery, Tenant shall have vacated the Unit, removed Tenant’s property, repaired all damages caused by Tenant and return the Unit in the same condition as received, reasonable wear and tear<br />

45. Voting Rights<br />
Tenant, by virtue of this Lease, does not obtain any voting rights which Landlord has to vote with respect to any matter for which a vote is called by the Condominium Association or its Board of Managers.<br />

A. Trust Property: The Beneficiaries shall convey or cause to be conveyed to the Trustee certain real property or properties specifically described in Schedule “A” which is attached hereto and incorporated herein by reference.<br />

All such real property and any other real property conveyed to and accepted by the Trustee shall be called the “Trust Property.” The Trustee shall hold title to the Trust Property for the uses and purposes and upon the terms and conditions set forth below.<br />

b. This Agreement shall not be placed on record in the county in which the Trust Property is situated, or elsewhere, but if it is so recorded, that recording shall not be considered as notice of the rights of any person derogatory to the title, rights, or powers of the Trustee. </blockquote>

D. Definitions:<br />
1. Trustee: The terms “Trustee” and “Trustees” as used herein shall include all persons, natural and/or artificial, who serve as Trustees pursuant to the provisions of this Agreement at any time.<br />

2. Beneficiaries: The terms “Beneficiary” and “Beneficiaries” as used herein shall refer to the beneficial owner or owners of the Trust Property, and shall include all successors in interest to any Beneficiary or Beneficiaries, whether by assignment of beneficial interests or by operation of law.<br />

H. Rights and Duties of Beneficiaries: The Beneficiaries, or their agent or agents designated in a written instrument <span class="Apple-tab-span" style="white-space: pre;"> </span>delivered to the Trustee and acknowledged by the Trustee, shall have the following rights and duties:<br />
The interest of every beneficiary and of every person who may become entitled to any interest under this Trust shall consist only of the (1) power to direct the Trustee to deal with title of the property; (2) power to manage, possess, use and control the property; and (3) the right to receive the earnings, avails and proceeds from leases, other uses and mortgages, sales and other disposition of the property.<br />
<br />
The Beneficiaries hereby state that they are not foreign persons as defined under the applicable provisions under the Internal Revenue Code.<br />
<br />
I. Rights and Duties of Trustee: The Trustee shall have no obligation to file any income, profit or other tax reports or returns or pay such or any other taxes. The Beneficiaries will make all such returns and reports and pay general real estate and all other taxes or charges payable with respect to the property and to the earnings, avails and proceeds of the property based on their interest under this Agreement. The Trustee shall have no obligation to make any advances or incur any expenses on account of this trust or the property nor any expenses by reason of being made a party to any litigation in connection with this trust or the property but, if the Trustee shall be compelled to pay money on account of this trust for the property whether for breach of contract, breach of personal property, fines or penalties, under any law or otherwise, the Beneficiaries jointly and severally on demand shall pay to the Trustee with interest the amount of all such expenses, advances or payments made by the Trustee plus all of his expenses including attorney’s fees. The<br />
Trustee shall not be obligated to convey, transfer or otherwise deal with the property or any part of it until all of the payments, advances and expenses made or incurred by him shall have been paid.<br />
On the written direction of the Beneficiaries, Trustee will make deeds for or mortgages or trust deeds or execute leases or otherwise deal with the title to the Trust Property including cash or other assets subject to the Trust. The Trustee shall not be required to inquire into the propriety of any direction.<br />
The Trustee shall have the authority to borrow all funds necessary to make repairs to the Trust Property, pay any mortgage payments, taxes and all other expenses directly related to the maintenance, repair, development or the payments of mortgages or liens on Trust Property.<br />
<br />
J. Protection of Third Parties Dealing With Trustees:<br />
1. No party dealing with the Trustees in relation to the Trust Property in any manner whatsoever, and (without limiting the foregoing) no party to whom the Trust Property or any part of it or any interest in it shall be conveyed, contracted or sold, leased or mortgaged by the Trustee, shall be obliged:<br />
a. To see to the application of any purchase money, rent or money borrowed or otherwise advanced on the Trust Property.<br />
b. To see that the terms of this Trust Agreement have been complied with.<br />
c. To inquire into the authority, necessity or expediency or any act of the Trustee.<br />
d. Or be privileged to inquire into any of the terms of this Trust Agreement.<br />
2. Every deed, mortgage, lease or other instrument executed by the Trustees in relation to the Trust Property shall be <span class="Apple-tab-span" style="white-space: pre;"> </span>conclusive evidence in favor of every person claiming any right, title or interest under this Trust that:<br />
a. At the time of its delivery the Trust created under this Agreement was in full force and effect.<br />
b. Such instrument was executed in accordance with the terms and conditions of this Agreement and all its<br />
<span class="Apple-tab-span" style="white-space: pre;"> </span>amendments, if any, and is binding upon all Beneficiaries under it.<br />
c. The Trustee was duly authorized and empowered to execute and deliver each such instrument.<br />
d. 1. To enter into any individual contract or other individual obligation whatsoever.<br />
2. To make themselves individually liable to pay or incur the payment of any damages, attorneys’ fees, fines, penalties, forfeitures, costs, charges or other sums of money whatsoever. The Trustee shall have no individual liability <span class="Apple-tab-span" style="white-space: pre;"> </span>or obligation whatsoever arising from his ownership, as Trustee, of the legal title to the Trust Property, or with <span class="Apple-tab-span" style="white-space: pre;"> </span>respect to any act done or contract entered into or indebtedness incurred by him in dealing with the Trust Property <span class="Apple-tab-span" style="white-space: pre;"> </span>or in otherwise acting under this Agreement, except only as far as the Trust Property and any trust funds in the <span class="Apple-tab-span" style="white-space: pre;"> </span>actual possession of the Trustee shall be applicable to the payment and discharge of that liability or obligation.<br />
<br />
L. Resignation of Trustee: Any Trustee may resign at any time by sending a notice of intention to do so by Certified Mail, Return Receipt Requested, to each of the Beneficiaries under this Agreement at his or her address last known to the Trustee. The resignation shall become effective ten (10) days after the mailing of those notices. In the event of the death or resignation of a Trustee, a successor or successors may be appointed by the person or persons with the Power of Direction under this Agreement, and the Trustee shall convey the Trust Property to that successor or successors in trust. If no successor in trust is so named within ten (10) days after the mailing of the notices, the Trustee may convey the Trust Property to the Beneficiaries in accordance with their respective interests, or the Trustee, may file an action<br />
for appropriate relief in any court of competent jurisdiction. The Trustee, notwithstanding the resignation, shall continue to have a lien on the Trust Property for the Trustee’s costs, expenses and attorneys’ fees and reasonable compensation.<br />

1. The LESSOR hereby transfers and conveys by way of LEASE in favor of the LESSEE a portion of the afore-stated properties (hereinafter referred to as the Leased Properties) specifically described as follows:<br />

2. Inspection; No Warranty. - The LESSOR leases the Leased Properties to the LESSEE on an "as is, where is" basis. 3. Condition Precedent. - It is a condition precedent for the effectivity of this Lease Agreement that the LESSEE submits to the LESSOR a copy of its Articles of Incorporation and By-Laws and latest General Information Sheet including a Board Resolution specifically authorizing the corporation and the person representing the same in this instance to enter into this lease agreement with the LESSOR under the terms and conditions contained herein.<br />

ARTICLE II</div>

CONSIDERATION</div>

1. It is understood that the LESSEE shall act as the surety of the sub-lessee for purposes of this Lease Agreement. The LESSEE shall provide LESSOR with a copy of the sub-lease agreement not later than ten (10) days after the execution of the sub-lease agreement. In addition, the LESSEE shall remit LESSOR'S percentage participation in the sub-lease rentals within the first five (5) days of each calendar month.<br />

<b>DEFAULT</b></div>

1. 2.2. The LESSEE fails to remit LESSOR'S percentage participation in the sub-lease rentals, if any, when the same falls due. <br />

2.3. The LESSEE uses the Leased Properties for purposes other than those specified herein, without prejudice to the options available to LESSOR under Section 1, Article IV hereof. <br />
<br />
2.4. The LESSEE violates any of the other terms and conditions of this Lease Agreement or fails to get the necessary permits from the national and/or local government units / agencies.<br />
<br />

<b>ARTICLE VII</b></div>
<div style="text-align: center;">
<b>MISCELLANEOUS</b></div>
<br />
1. Insurance. - The LESSEE shall obtain insurance coverage for the Leased Properties, against all insurable risks applicable from a duly accredited and reputable insurance company in an amount equal to the maximum insurable value of the Leased Properties. The LESSOR shall be the Beneficiary of the required Insurance. In case of complete loss or damage to the Leased Properties, and/or the improvements therein, during the term of this lease, the LESSOR shall have the option to reconstruct or restore the lost or damaged Leased Properties, and/or the improvements therein, to their original condition or to consider this lease automatically terminated. In case of damage in part, rental shall be reduced in proportion to the remaining tenantable or useable area.<br />
<br />
2. Utilities. - All expenses for water, electricity, telephone, sanitation, sewerage, gas and other public utility services shall be for the account of the LESSEE. The cost of installation of utilities within the Leased Properties, such as water and electricity, shall be for the account of the LESSEE; provided, that any installation shall be under the control and supervision of the LESSOR and the latter has the right to indicate where the meter connections shall be placed.<br />
<br />
3. Improvements. - The LESSEE shall not make any structural changes, alterations, additions or improvements on the Leased Properties without the prior written consent of the LESSOR. Any alterations or improvements made or introduced by the LESSEE on the Leased Properties with the written consent of the LESSOR shall, upon the termination of this Lease Agreement, automatically be owned by the LESSOR without any obligation on the part of the LESSOR to pay or refund its value or cost to the LESSEE.<br />
<br />
4. Signs and Advertisements. - Subject to prior written consent of the LESSOR, the LESSEE may install, erect or affix upon the Leased Properties, signs or advertisements as may be necessary to promote and/or advertise the business in which it is engaged in. In requesting the approval of the LESSOR, LESSEE should submit a description and the specification of its proposed sign or advertisement. <br />
<br />
5. Care of Leased Properties. - The LESSEE shall, at its own expense, maintain the Leased Properties in a clean and sanitary condition free from noxious odors, disturbing noises or other nuisances. The LESSEE, its employees, agents or representatives shall not in any manner damage or deface any part of the Leased Properties. <br />
<br />
The LESSEE shall comply with any and all reasonable rules and safety regulations which may be promulgated from time to time by the LESSOR, together with all the rules, regulations, ordinances or laws made by the duly constituted authorities; either by the National or City government or any of its agencies and instrumentalities, arising from or regarding the use, occupancy and sanitation of the Leased Properties.<br />
<br />
6. General Maintenance, Sanitation, Repairs and Safety. - The cost of general maintenance and upkeep of the Leased Properties shall be for the account of the LESSEE. The LESSEE shall keep the Leased Properties in a clean, safe and sanitary condition and introduce all the needed repairs at all times. The LESSEE shall dispose all its garbage, waste, and other pollutants in accordance with the rules promulgated by the national or local government. All major repairs resulting from damages not attributable to the LESSEE's negligence shall be for the account of the LESSOR. For purposes of this contract, repairs in amount not exceeding TWENTY THOUSAND PESOS (P20,000,00) per occurrence of repairs shall be considered as minor repairs.<br />
<br />
In case of damage to the Leased Properties or its appurtenances by fire, earthquake, volcanic eruption, war or any unforeseen cause, the LESSEE shall give notice to the LESSOR within a reasonable time. In the event that the LESSEE through its own fault or negligence or that of its employees, agents or representatives, damages the Leased Properties, and LESSEE fails to repair the damage within a reasonable time, then the LESSEE shall be liable to LESSOR for liquidated damages in an amount equivalent to six months rent without prejudice to such other amounts as may be due LESSOR under this Lease Agreement and/or the law.<br />
<br />
7. Fire Hazard and Obnoxious Substances. - The LESSEE shall not introduce, keep, deposit or store in the Leased Properties any obnoxious substance or inflammable material or substance not reasonably connected with the herein stated purpose of the lease which might constitute a fire hazard, without the prior written consent of the LESSOR. The LESSEE shall also not install within the Leased Properties any apparatus, machinery or equipment which may cause obnoxious tremors or noises nor store newspapers, cartons, wood, or other articles of light nature which may expose the Leased Properties to fire or increase the fire hazard of the Leased Properties or change its insurance rate.<br />
<br />
8. Inspection of Premises. - The LESSOR reserves the right to enter and inspect the Leased Properties at reasonable times during business hours and with prior notice. The LESSEE agrees to cooperate with the LESSOR in keeping the Leased Properties in good and tenantable condition.<br />
<br />
9. Assignment. - The LESSOR reserves the right to assign, transfer or encumber any of its rights and interests under this Lease Agreement to any entity without the need of obtaining the consent of the LESSEE except to notify the latter of the same. In the event of such transfer, assignment or encumbrance, the rights and interest of the LESSEE under this Lease Agreement shall be respected and observed in its entirety by such assignee, transferee or mortgagee, and for the entire term hereof unless otherwise mutually agreed upon by the parties including the LESSEE.<br />
<br />
10. Return of Premises. - Upon the termination of this Lease Agreement for any reason whatsoever, the LESSEE shall peacefully and immediately vacate the Leased Properties and return possession thereof to the LESSOR in good and tenantable condition, devoid of all occupants, equipment and effects of any kind. Failure of the LESSEE to return the Leased Properties as provided herein shall make it liable to pay liquidated damages to the LESSOR in an amount equivalent to six (6) months rent without prejudice to such other amounts as may be due LESSOR and/or such other remedies available to the LESSOR under this Lease Agreement and/or under the law. <br />
<br />
11. Right to Enter the Premises to Recover Actual Possession. - Upon the failure of the LESSEE, or the sub-lessee as the case may be, to comply with any of the terms and conditions of this lease or its failure to vacate and return the premises as provided herein, the LESSOR or her authorized representative(s) shall have the right, upon five (5) days written notice to the LESSEE, or upon written notice posted at the entrance of the Leased Properties for the same period, to enter and take possession of the said premises, without need of resorting to any court action, holding, taking custody and impounding such possessions and belongings of the LESSEE found therein after conducting an inventory of the same in the presence of witnesses, until such time that all the rentals, interests, penalties, unpaid utility bills, damages or other amounts due to the LESSOR has been fully settled by the LESSEE. All these acts being hereby agreed to by the LESSEE as tantamount to his voluntary vacation of the leased premises without necessity of suit in court and authorizing LESSOR to use all necessary and reasonable force to break open doors and to enter the premises and take actual possession thereof, and such entry and use of reasonable force should not be regarded as trespass, nor be sued as such, or in any wise be considered as unlawful. <br />
<br />
12. Transfer of Rights. - The LESSEE shall not assign, or transfer or encumber its rights under this lease without the prior written consent of the LESSOR and no right, title or interest thereto or therein shall be conferred on or vested in any other party other than the LESSEE without such written consent.<br />
<br />
13. Indemnity. - The LESSEE shall hold LESSOR free and harmless from any loss, damage, injury suffered by the LESSEE, its agents or employees, clients, guests or customers or other third persons arising out of the use of the Leased Properties by LESSEE, its agents, employees, clients, guests, or customers including but not limited to, claims for property damage, personal injury or wrongful death, or losses or damages occasioned by reason of any event or cause which could not be foreseen, or which, though foreseen, were inevitable such as but not limited to fire, earthquake, lightning, typhoons, flood, volcanic eruption, robbery, theft or other crimes. In addition, the LESSOR shall not be liable nor responsible:<br />
<br />
(i) For the presence of bugs, vermin, rats, insects, or other similar creatures, if any, in the Leased Properties:<br />
<br />
(ii) For the failure of electrical and/or water supply due to causes beyond LESSOR's control;<br />
<br />
(iii) For any injury, loss or damage which the LESSEE, its agents or employees, might sustain while in the Leased Properties due to causes attributable to the fault of said LESSEE, employees, agents and/or representatives, or those of its clients, guests or customers;<br />
<br />
(iv) For any damage done or occasioned by, or arising from the plumbing, gas, water, and/or other pipes or air-conditioning system or for the bursting, leaking or destruction of any tank, cistern, washers, and water closets or waste pipelines in, above, upon, or about said Leased Properties, nor for any damage arising from or attributable to acts of negligence of the LESSEE or its agents, employees, representatives or any and all other persons over which the LESSOR has no control.<br />
<br />
14. Non-Waiver. - The failure of the LESSOR to insist upon a strict performance of any of the terms, conditions and covenants hereof shall not be deemed a relinquishment or waiver of any of the rights or remedies that the LESSOR may have, nor shall it be construed as a waiver of any subsequent breach or default of its terms, conditions and covenants which shall continue to be in full force and effect. No waiver by the LESSOR of its rights under this Lease Agreement shall be deemed to have been made unless expressed in writing and signed by the LESSOR.<br />
<br />
15. Amendments. - Any amendments or additional terms and conditions to this Lease Agreement must be in writing.<br />
<br />
16. Venue. - In case of any dispute arising in connection with this Lease Agreement, the parties hereby agree that the venue for the settlement of the dispute shall fall exclusively within the jurisdiction of the proper courts in the City of _____________, Philippines.<br />
